BI - I also had a look at that issue when the results of AGM were published.
I am not 100% clear but the rules re Rem Report voting are different to the rules on other issues up for vote eg voting exclusions on issue of shares to directors. Re voting on Rem Report it is "Closely Related Parties" who are excluded.
I think CRPs are relatives, other directors, and coys controlled by a director. So Woolley etc does not control Todd so Todd can vote. Harvey owns and controls his coy which owns the shares in HVN.

Also PE was right re Rem Res outcome. It was Passed as a resolution, but was still a Strike.
A second Strike is pretty much useless to us next time, except to send another message.
Because if we get a 2nd strike next yr, then FMS has to put a Res to meeting asking if s/h want to spill board. Todd can vote its 55% s/h, so they would vote against spill.
