The conditions/exclusions in the AGM notice should exclude all shareholders on/earlier than the record date. It's got the broadest exclusion of any of the resolutions - I'm not sure who's actually left to vote, other than I guess new holders from Tranche 1?
I think it will be difficult to overturn, but the basis for the exclusions in general is acceptable (ie Ian can't vote that Ian gets shares, etc.). But such broad exclusion isn't really representative.
