Sure, or some multi billion dollar company could come in, offer all sorts of incentives to the BOD to promote a take over, lining their own pockets, and give a low ball offer. Sure, maybe if there are some diligent shareholders that put up a fight they may throw some more bread crumbs. however if you have a board only looking out for themselves, not caring about shareholders, and ready to be wooed by a big company, why would you bother!!!
