There are always shareholders who don't take up their full entitlement as well as offshore owners who cannot participate. Often these are made available to an underwriter who gets a fat fee for the right to get cheap shares. Nobody said that the system was equal or fair. If the company is confident that the offering will be fully subscribed then they can dispense with the underwriter.
