To me it is pretty simple. My personal perception is that the outgoing Chair has not held the CEO to account and has overseen excessive remuneration (cash and equity) for a company which has yet to deliver for shareholders. Situations like this can often involve a large shareholder (or two) saying we demand change. New Chair may have been identified and nominated by a large shareholder.
