But like @cash hound says, management have in the past shown they are not going to sell themselves and us out...that's why i am bewildered they have accepted a $3.00 valuation...everything else is ok, sure come over kick the tyres, look under the bonnet - but why accept a $3 valuation? In doing so, you have put a cap on it!?!?!?

So, having digested this and other news...
Something must have "compelled" the board to take this position. Did someone put a gun to someones head? threaten their family? lock them in a steamer? who knows?
My take is however that is is being set up for someone to offer a scrip for scrip bid...
Look at the Top20 (and most of the loyals on the register)...do you think any of those folks (other than the PE funds) would be happy with a sky high CGT bill?
So they would be incentivised, like many here, to sell into a scrip bid that offers CGT rollover relief...do not underestimate the significance of this. Its worth 30%.
By "pegging" the "value" against a "dummy" cash bid by Albermarle...they are tempering SH expectations...
