one thing I do not like with these SOA mechanisms is that they give me NO OICE as to WHEN I exit my investment in the company. I may have had the intent to hold longterm ( for the anticipated dividend stream) or at least 12 months (to get Tax discount on any cap gains). With a SOA, the ‘exit date’ is set if/once the SOA is agreed to by shareholders and it MAY have significant negative tax implications depending on when shares were acquired and one other personal situation.
And of course, with a SOA, there is no chance to ‘refuse to participate’ and stay around as a minority shareholder.
