No idea where ppl are getting AMN committed to pay $45m... that never happened. The sum was $20m for AMN to buy Beyondie. There was about $25m in tax R&D credits due to Kalium that ppl have attributed to consideration, which it is not. I imagine that's still there to be transferred over if a buyer receives those benefits. Like for like this looks like a similar deal with upfront cash IMO. From the creditors report:
