RIGHT: WDT: Wellington Drive Share Offer Update
Shareholders will have recently received the offer documentation for the 5:6
rights offer announced in February. As previously announced, our major
shareholder SuperLife has agreed to fully underwrite the rights offer. It was
proposed that SuperLife partially meet that commitment by taking up its full
entitlement under the rights offer. However, the underwriting arrangements
have now been amended such that SuperLife will take up rights under the offer
sufficient to maintain its percentage holding of ordinary shares in WDT, with
the balance being taken up through the underwriting of the rights offer. Any
issue of shares to SuperLife under its underwriting commitment will be
subject to all required shareholder approvals being obtained, which will be
sought at WDT's annual shareholders' meeting, proposed to be held in June
2015. Shareholders are encouraged to support WDT through the rights offer,
the closing date for which is 8 May 2015.
