As stated in Section 6.9, Sholom Feldman and Pnina Feldman wish to participate in the Offer on the same terms as other applicants. The Company has received a waiver of Listing Rule 10.13.3 to allow it to issue such Shares to Sholom Feldman and Pnina Feldman within 3 months (rather than 1 month) from the date of the General Meeting.
ASX Listing Rule 14.7 provides that where an entity states in a notice of meeting that it will do something that the ASX Listing Rules require it to do, the entity must do that thing.
As the Listing Rules require that the notice of meeting for the General Meeting states the Company will issue these Shares to Sholom Feldman and Pnina Feldman within 1 month of the General Meeting, a waiver under Listing Rule 14.7 must also be sought in conjunction with the waiver under Listing Rule 10.13.3 should the Shares not be issued within this 3 month period.
I don't recall any announcement that they sought and were granted a waiver for the shares not to be issued but you would presume they did. Are ASX waivers in the public domain?
