So RMS shares go down. The value isn't worth what it is previously at the time of offer. There is more sell-off with SPX, possibly at a cheaper rate.
New holders acquire more SPX shares or RMS shares.
RMS SP moves up after the T/O..

Alternative Theory:
Potential Competitor/Bidder shorting RMS stocks to make the offer less attractive so their deal looks more attractive.
Gold is still bullish and probably will be for a while with coronavirus at play.
