Genesis TO of DCN is a good recent example of why the assumption that 51% is enough won't work. All that gives RMS is a big shareholding and eventually SPR dividends. It can't make SPR do anything to favour RMS ... that would be illegal related party dealing. It can't force shareholder votes in its favour ... it would be excluded from voting on such matters ... and it can't use board influence to favour itself without finding itself in court.
