    As at 25 May 2021, the implied Offer value of 1.57¢ per Adherium Sharerepresents a:

    4.7% premium to the price of 1.5¢ per Adherium Share under the CapitalRaise and Note Conversion;
    7.6% discount to the last trading price for Adherium Shares at close oftrade on 25 May 2021; and
    9.9% discount to the 30 day VWAP for Adherium Shares up to andincluding 25 May 2021.
