S/HOLDER: FSF: FONTERRA FARMER SHAREHOLDERS' SUPPLY OFFER
On 27 May 2013 Fonterra announced that following necessary scaling, its
Farmer Shareholders had offered to sell, and Fonterra had agreed to purchase,
59,973,601 Units in the Fonterra Shareholders' Fund ("Fund"), under the terms
of the Supply Offer. (Further detail as to the Supply Offer can be found in
the earlier announcement dated 27 May 2013.)
Fonterra can now announce that the following steps have been completed:
- participating Farmer Shareholders transferred the Economic Rights of
59,973,601 Co-operative Shares to Fonterra Farmer Custodian Limited
("Custodian");
- FSF Management Limited, as the manager of the Fonterra Shareholders' Fund,
("Manager") issued 59,973,601 Units in the Fund to participating Farmer
Shareholders;
- Fonterra acquired the 59,973,601 Units issued by the Manager to
participating Farmer Shareholders via the NZX market, for an aggregate
purchase price of $474,990,919.92;
- Fonterra redeemed the Units it acquired, resulting in the transfer of
59,973,601 Co-operative Shares to Fonterra by the Custodian; and
As a result of the completion of the above steps, the following Substantial
Security Holder notices are attached to this announcement:
- separate notices from the Custodian and the Manager, disclosing a change of
1% or more in each of their substantial holdings in Co-operative Shares (as a
result of the transfer of Co-operative Shares to the Custodian by Farmer
Shareholders participating in the Supply Offer);
- a notice from Fonterra, disclosing that it began to have a substantial
holding in Units in the Fund (as a result of the acquisition by Fonterra of
the Units issued by the Manager to participating Farmer Shareholders);
- a notice from Fonterra, disclosing that it has ceased to have a substantial
holding in Units in the Fund (as a result of Fonterra redeeming the Units it
acquired under the Supply Offer and the Custodian transferring Co-operative
Shares to Fonterra); and
- separate notices from the Custodian and the Manager, disclosing a change of
1% or more in each of their substantial holdings in Co-operative Shares (as a
result of Fonterra redeeming the Units it acquired and the Custodian
transferring Co-operative Shares to Fonterra).
