S/HOLDER: FSF: Notice to Bondholders

FONTERRA - NOTICE TO BONDHOLDERS

Fonterra Co-operative Group Limited (Fonterra) has elected for the applicable
requirements of the Financial Markets Conduct Act 2013 (Act) to apply to it
with effect from 10 April 2015 in respect of the bonds issued pursuant to the
master trust deed dated 18 November 2002, as amended from time to time,
between Fonterra and The New Zealand Guardian Trust Company Limited.
Accordingly, Fonterra has amended the master trust deed to comply and reflect
the Act, and to make other 'tidy up' amendments.

As required by the Act, bondholders will shortly receive a notice in the form
attached, providing further details.
