RYM 19/09/2014 15:08 S/HOLDER REL: 1508 HRS Ryman Healthcare Limited S/HOLDER: RYM: Letter to Shareholders - Ryman Times Spring Edition The following letter was sent to shareholders today: Dear shareholder, I'd like to take the opportunity to introduce two new additions to Ryman Healthcare's Board of Directors. For some time we have been looking for a second Australia-based Director to join the Board to reflect the emphasis we place on opportunities across the Tasman. We also felt it was appropriate to boost our Board numbers from seven to eight to reflect the continued growth in the size of the company. As you are aware, we have opened our first retirement village in Melbourne and purchased a second site. We see tremendous potential in Victoria. I'm pleased to be able to announce that Claire Higgins has been appointed to the Board as our second Australian non-executive director. Claire lives in Victoria and became a professional director after a long career at BHP OneSteel. She is on a number of Boards, and is the Chair of the Country Fire Authority in Victoria and a Director of the Victorian State Emergency Services board. We have also appointed Doug McKay to the board as a non-executive Director. Doug is a well-known name in New Zealand business after successful tenures as chief executive of Independent Liquor and of Sealord. He is perhaps best known as the founding chief executive of the new Auckland Council, successfully bringing together staff from eight local authorities into one organisation. Andrew Clements, one of the original Directors from when we floated back in 1999, has stood down. Andrew has made a huge contribution over the past 15 years and we cannot thank him enough for his hard work and great personal contribution over that time. He has been a constant source of high quality advice and sound judgement both at the Board table and to the senior management team. He has worked at a CEO/Managing Director level at Procter and Gamble, Lion Nathan, Carter Holt Harvey, Goodman Fielder, Sealord and Independent Liquor. He is a Director of New Zealand Institute of Chartered Accountants, NZ Food Company Holdings Limited and NZ Snack Food Holdings Ltd (Griffins), Wymac Consulting Ltd, Genesis Energy, IAG NZ Holdings Ltd and subsidiaries, Bank of New Zealand Ltd and subsidiaries, Director designate of Chartered Accountants Australia New Zealand and a board member of the Eden Park Trust Board. He is a member of the NZ Institute of Directors. Doug was the inaugural Chief Executive of Auckland Council. Claire Higgins is a professional director and consultant. She is chairman of the Country Fire Authority in Victoria, and is on the board of several other organisations located in Australia and New Zealand. Claire has also had extensive executive experience with BHP and OneSteel Limited. Claire has a Bachelor of Commerce from the University of Melbourne and is a present fellow at the Australian Institute of Company directors, the Australian Society of Certified Practising Accountants and the Institute of Public Administration Australia. Claire is a director of the Victorian State Emergency Service, Ambulance Victoria, Portland District Health and Vital Healthcare Management Ltd in New Zealand.
