this is a full and fair price. excellent outcome for shareholders (frankly, a good deal north of what I thought they would get).

as speculated, the competitive tension in the process; coupled with the smoke signals of behavior from the company (re the proxy docs; not giving guidance, etc; and paying out all cash as a dividend) suggested a deal was closely in the offing.
