But it raises a small question as the above only sums to 12.6 which is 1.8 less than the sales price - not sure how big fees are in a transaction like this but surely not 1.8 million.

I think you may have been looking at net debt, it was $5,284,000.

Although its odd that the net cash post sale is $10m - sale was $14.4m implying debt of $4,4m.
