I valued the transaction as follows:
$100k cash +
3.3m shares at 20c (assumption) each = $660k +
1.65m options exercisable at 20c valued at 5c (assumption) = $82.5k
Total = $842.5k
Obviously there are a few assumptions around share price and option value but IMO there or thereabouts.
