It's a matter of who approached who...
I don't know why they are calling it a merger. Basically if Woodside approached Santos, then its a takeover proposition in my books.
Just like with Oilsearch, Santos approached them and sweetened the deal (16.8%) to make it happen. They called it a merger because script was used as payment.
Don't be fooled by the language, this is a takeover proposition in my books. Shares can always be bought back...as what Santos has done this past year.
It's a matter of who approached who...I don't know why they are...
