(d) The Scheme Consideration will be reduced by the cash amount of the Special
Dividend.
(e) GHPL acknowledges that Gold Road may seek a class ruling from the
Australian Taxation Office confirming that any Special Dividend can be fully
franked, and GHPL must provide Gold Road with such assistance and
information as may reasonably be requested by Gold Road for the purposes of
obtaining such ruling.
