    Yeah, it's actually extraordinary for an agreed price to fall after offer, like it has here. That's because the target knows the acquirer is good for and willing to pay the original bid amount, so any justification for a reduction from that price is exceptional. The same as if you negotiate a price for something in any context, then try to lowball after.

    Usually that only works when the seller put it up for sale first rather than the bidder initiated the deal as happened here, and/or when the seller is desperate to sell, or they're just horrible negotiators. Unfortunately there is no explanation here, save that it's the result of "negotiation between the parties" so it's left to us owners to make our own judgements about the quality of those negotiations...
