directors all voted for it. only explanation I can think of is some larger holders think they can get a higher offer from either seek or someone else. most likely from seek. gee big gamble if that is the thinking. or do they know things.... I note seek said something to the effect - we shall investigate other ways to get the growth we were going to get from buying xf1. you can read that as meaning exactly as it says or you can read it as them saying they already know they can't easily get it from somewhere else so they know they are going to have to come back with a better offer.
if i was really feeling the speculative chemicals flowing through my veins I would buy this for the punt. but these days such punts 'don't fit my risk profile' as they say.
