I would think it is possible for other shareholders, especially ones that quit the register with the steady decline in share price, to take legal action over deals with individuals guaranteeing a floor price. A second chance for legal action is to allege that the company has deliberately been run down, or knowledge concealed to allow for this kind of fire sale offer.
If Roche and Simonds withdraw their offer and go back to business as usual, the other significant holders can in time ensue enough board representation to render Simonds a spectator and not effectively control events.
