The Simond's family own 39% of the shares so no one else can take over the company without his consent. As mentioned in the article he got $150m from the previous deal so money is not the issue for him. He would prefer Simond's Homes to continue as he built the company. The shareholders may well vote against the resolution but what will that do? I assume the share price will drop back to pre offer levels of 29c-30c, not sure what good that would do.
