The Dec 17 announcement (after the mentioned Sep 2017) said :

"Metallica Minerals Limited (ASX:MLM) (Metallica) is pleased to advise that it has agreedwith Australian Mines Limited (ASX:AUZ) (Australian Mines) to vary the SCONI Sale andPurchase Agreement (SCONI SPA) (refer to ASX release dated 6 September 2017) asfollowsa) the remaining conditions precedent have been waived or deleted from the SCONISPA, accordingly the SCONI SPA is now unconditional;(b) the completion date for the SCONI SPA will be Friday, 8 December 2017; and(c) Australian Mines will pay Metallica a further non-refundable amount of $1,000,000within 2 business days in consideration for varying the Agreement.Australian Mines and Metallica are now taking steps to complete on 8 December 2017.All other terms of the SCONI SPA remain as advised in the ASX release dated 6September 2017."

The caveat talk doesn't make sense it would have been cleared in Dec 2017 or before SKI took over.

AUZ has said many time that they 100% own Sconi.
