My apologies, the company will issue 1000 shares, purely so that the Prospectus cannot be considered a "sham" in law -

"The Offer will have an effect on the Company's financial position, being receipt of funds of 40.00 less costs of preparing the Prospectus of $13,637."

That is, there clearly must in fact be some kind of transaction, issue of shares, however tiny, to satisfy s708A(11). So yes, the company is going to issue 1000 new shares under this prospectus. If I had time I'd dig into the Corps Act to find why 1000 is sufficient, but clearly the company's recieved legal advice that this will do in order to get around s708A(11).
