Of course it does, these options have been there as unquoted options. That's why you should look at fully diluted market cap to assume worst case (or best case depending on how you look at it) that all options will be excised. In terms of the dilution I doubt (assuming it's one of the directors) they will be selling any time soon or if it all so really a non issue.
