As consideration for the transfer, the majority shareholders will have all their shares in CSA cancelled and pay 16.41% of the value of CSS including its investment in Linyi to CSA in cash.

The cancellation will be undertaken pursuant to Section 256B of the Corporations Law and not by way of a share buy-back.

CSA will declare a return of capital to pay out cash to the minority shareholders.
