There isn’t a takeover offer - it’s that there has been interest in a takeover. I don’t think they would have to release this in normal circumstances as there is nothing concrete. It’s that the share buyback puts them in the position of ensuring sellers are not in a position to complain the company knew something they didn’t know at the time of sale.
