The consolidation rate depends on the SP and what the market is willing to value gridComm now which will be dependant on ODNs price. Lets see what the market rates the deal

If the consolidation ratio is 5:1 or thereabouts at current price to get ODN to 10c price.

All in all it seems the deal does not dilute shareholders interest if the above ratio is applied and ODN shareholders keeps 40% of the combined entities.

Now we get to see the true financials of gridComm or further fundamentals play.
