i dont know. if there is/was a vote - i doubt that the retail shareholders would support the deal. a below IPO sale of a growing company in a growing market - what is the point? if this is not a failure of corporate governance and a potential conflict of interests between directors and shareholders i dont know what is. so by the sound of it all you need to do to take a company private at below IPO price is to offer the directors a job and get an "expert" to say that its a great deal. class action?
