In which case you'd be stripping over $100 million out of the balance sheet after the merger details have been agreed upon, and then expect Red to just say, "Oh, no problem, perhaps you'd like to take a little more? We don't need it anyway."
The merger details were agreed upon to include the Red shareholding in the merged entity.
To do as you suggest would be an absolute reneging of the deal.
