It frankly boggles the mind that Tyro are proposing to purchase SMP predominantly with scrip at the current Tyro share price.
SMP at NZ$1 per share is a cA$180m EV vs Tyro at around $335m currently. Tyro trades on <5x FY26 EV/EBITDA vs SMP on 7.5x at NZ$1 (assuming massive EBITDA growth from FY25 to FY26).
Honestly I think the few long suffering instos still left here might roll the board on this deal.
