I don't think SPX expect Limepay to hit their ARR milestones in the third quarter of CY 24, rather they expect to complete the acquisition and issue the tranche 1 shares by the end of the third quarter of CY24. The tranche 2 shares will likely be issued in the December 2024 quarter as that's when R&D refunds get paid out.

I would expect that the revenue milestones for Limepay to qualify for the tranche 3 & 4 shares will not be satisfied until some time in CY25. Otherwise, if Limepay was going to hit the ARR milestones in the third quarter of CY24, then they'd be making circa $600k/month for July, August & September. If that was the case, then I'd have thought they could run their own show and wouldn't have been available for purchase in the first place.
Just my thoughts on timing of new revenue coming onboard and issuing the tranche 3 & 4 shares.
