They are not buying your stock. If you vote yes your stock will be cancelled and exchanged for stock in a private company domiciled in the Cayman Islands. The last sentences in the schedule contain words to the effect that they cannot guarantee that stock will have any value or will be tradable. Either way you are being wiped out.
