Statement to NZX Limited
Pursuant to clauses 9(2) and 9(3) of the Securities Act (NZX - Share and Unit
Purchase Plans) Exemption Notice 2010
1. For the purposes of the Share Purchase Plan of the Company that was
announced on 24 August 2015 and opened on 8 September 2015 (SPP), the issue
price would be the lower of:
(a) NZ$0.48 per share (being the price payable by investors in GEO's recent
private placement); and
(b) the average end of day market price of GEO's shares over the five
business day period from, and including, 21 September 2015 to and including
25 September 2015.
2. The Company hereby gives notice to NZX Limited and to each applicant under
the SPP that the subscription price for ordinary shares in the Company
(Specified Securities) under the SPP is $0.446, being the average end of day
market price for the five business days ending on 25 September 2015.
3. For the purposes of clause 9 of the Securities Act (NZX - Share and Unit
Purchase Plans) Exemption Notice 2010, we certify that when the subscription
price was fixed the Company had no information not publicly available that
would, or would be likely to, have a material effect on the market price of
the Specified Securities if the information were publicly available.
