Details of transactions and events giving rise to person ceasing to have
substantial holding
The shares were beneficially owned by the New Zealand Superannuation Fund.
MCO had a non-beneficial relevant interest in them because Morrison & Co
Funds Management Limited ("MCFM"), a wholly-owned subsidiary of MCO, managed
the investment pursuant to an investment management agreement between it and
the Guardians of New Zealand Superannuation as manager and administrator of
the New Zealand Superannuation Fund.
MCFM entered into an agreement with UBS New Zealand Limited dated 14 February
2013, under which UBS New Zealand Limited agreed to manage and underwrite the
sale of the shares (see substantial security holder notice filed by H.R.L.
Morrison & Co Limited dated 15 February 2013). The shares were sold at a
price of NZD2.76 per share. Settlement of the sale has now occurred.
