Details of transaction and events giving rise to person ceasing to have
substantial holding
Details of the transactions or other events requiring disclosure under the
instructions to this form: On 14 October 2013, Holliday Group Holdings (ICT
Investments) Limited made a full takeover offer under the Takeovers Code to
acquire all the equity securities in FIN ("Offer").
On 15 October 2013, ICT Investments, who entered into the lock-up agreement
referred to in the substantial security holder notice filed by ICT
Investments on 6 September 2013 accepted the Offer for its holding of
5,279,630 shares in FIN in accordance with the terms of that lock-up
agreement.
The Offer closed on 13 November 2013 and all shares in respect of which
acceptances were received under the Offer (including those held by ICT
Investments) were transferred to Holliday Group Holdings (ICT Investments)
Limited on 19 November 2013. Accordingly, ICT Investments no longer has a
relevant interest in FIN.
