SSH: GMT: SSH Notice

Power to control sale of listed voting securities as a result of entry into
sale and purchase agreement between Goodman Funds Management Limited, Tallina
Pty Limited, The Trust Company Limited, Goodman (NZ) Limited, Goodman Nominee
(NZ) Limited, Goodman Property Aggregated Limited and Corporate Trust
Limited, dated 13 November 2012 (Sale and Purchase Agreement), whereby GMT
units held by The Trust Company Limited on behalf of Tallina Pty Limited (as
trustee of the Penrose Trust, a sub-trust of the Goodman Industrial Trust)
may not be transferred (without the consent of Goodman (NZ) Limited, not to
be unreasonably withheld) if it would cause The Trust Company Limited to hold
less than 10 percent of the total GMT units on issue.

A copy of Sale and Purchase Agreement is filed with this notice.
