As part of a reorganisation of the Morrison & Co group of companies, on 1
April 2013, Woodward Funds Management Limited ("WFML") and H.R.L. Morrison &
Co Limited ("MCO"), a wholly-owned subsidiary of H.R.L. Morrison & Co Group
Limited ("MCO Group"), amalgamated to become WFML under Part 13 of the
Companies Act 1993.  Consequently, WFML succeeded to all of the securities in
Infratil Limited held by MCO for nil consideration.  WFML is beneficially
wholly-owned by the same shareholders as MCO Group, in the same proportions
as they own MCO Group.
