Intueri Education Group Limited and Intueri Education Holdings Pty Limited
have entered into a Restricted Security Agreement pursuant to which Intueri
Education Holdings Pty Limited has irrevocably undertaken to Intueri
Education Group Limited, NZX Limited and the Non-Interested Directors (as
defined in the Restricted Security Agreement) not to sell, transfer or
otherwise dispose of the legal or beneficial ownership of the shares in
Intueri Education Group Limited that it holds for the period from the first
day on which the ordinary shares in Intueri Education Group Limited are
quoted on the NZX Main Board and ending on the first day after announcement
to NZX of the preliminary financial announcement of Intueri Education Group
Limited's financial results in respect of the year ended 31 December 2015
without the prior written approval of Intueri Education Group Limited, NZX
Limited and the Non-Interested Directors.
