Details of transactions and events giving rise to relevant event
On 27 May 2015, Chevron New Zealand entered into a block trade agreement
(attached) with Deutsche Craigs Limited, under which Chevron New Zealand
agreed to sell, and Deutsche Craigs Limited agreed to procure the sale of,
Chevron New Zealand's 35,534,905 ordinary shares in The New Zealand Refining
Company Limited for at least NZ$2.32 per share (with Deutsche Craigs Limited
also agreeing to underwrite the sale by buying any unsold shares). As a
consequence of that agreement, there is a qualification on the power of
Chevron New Zealand to dispose of, or control the disposal of, such shares.
Pursuant to that agreement, it is expected that on-market sales of the
35,534,905 ordinary shares will be effected on 28 May 2015.
