Details of transactions and events giving rise to ceasing of substantial
holding
Details of the transactions or other events requiring disclosure: On 27 May
2015, Chevron New Zealand entered into a block trade agreement with Deutsche
Craigs Limited, under which Chevron New Zealand agreed to sell, and Deutsche
Craigs Limited agreed to procure the sale of, Chevron New Zealand's
35,534,905 ordinary shares in The New Zealand Refining Company Limited for at
least NZ$2.32 per share (with Deutsche Craigs Limited also agreeing to
underwrite the sale by buying any unsold shares). Pursuant to that agreement
on-market sales of the 35,534,905 ordinary shares were effected on 28 May
2015, at a sale price per share of NZ$2.33 for aggregate consideration of
NZ$82,796,328.65, with settlement occurring on 3 June 2015.
