Deed dated 28 October 2014 between Orion Health Group Limited, Pioneer
Capital Management Limited and Pioneer Capital I Nominees Limited (6 pages
attached).

Details of the transactions or other events requiring disclosure under the
instructions to this form:
Pioneer Capital Management Limited, as investment manager for investors,
became subject to the substantial security holder disclosure obligations upon
the shares in Orion Health Group Limited being listed on the NZX Main Board,
which is a registered market operated by NZX Limited.
The shares which are managed by Pioneer Capital Management Limited as
investment manager are held by Pioneer Capital I Nominees Limited as bare
trustee.
Note: On 20 November 2014, Pioneer Capital 1 Nominees Limited transferred
2,687,500 shares in Orion Health Group Limited to certain investors whose
shares are managed by Pioneer Capital Management Limited, as it was permitted
to do pursuant to clause 7 of the Escrow Deed. Those transfers reduced the
number of shares in Orion Health Group Limited held by Pioneer Capital 1
Nominees Limited from 13,370,900 shares to 10,683,400 shares.
