Nature of relevant interest(s): Holding company of two subsidiaries which
collectively have a relevant interest in 5.363% of the shares in Scales
Corporation Limited. More specifically, First NZ Capital Group Limited is
the holding company of:
- Harbour Asset Management Limited, which currently has a relevant interest
in 3.825% of the ordinary shares in Scales Corporation Limited (Harbour Asset
Management Limited has a relevant interest in these shares under investment
management contracts that give the powers of investment contained in those
contracts to acquire and dispose of interests in securities on behalf, and
for the benefit, of clients as the beneficial owner of the securities. The
investment management contracts appoint Harbour Asset Management Limited as
discretionary investment manager), and
- First NZ Capital Securities Limited, which as a result of normal trading
activity, purchased shares on and off market between $1.53 and $1.61 a share,
has a relevant interest of 1.538% of the ordinary shares in Scales
Corporation Limited on 26 September 2014.

substantial holding
First NZ Capital Group Limited is the holding company of:
- Harbour Asset Management Limited, which currently has a relevant interest
(as described above) in 3.825% of the ordinary shares in Scales Corporation
Limited (being an aggregate of 5,346,750 ordinary shares) as a result of
acquisition of 2,343,750 ordinary shares in the initial public offer and the
purchase of 3,045,000 shares in the secondary market (between $1.52 and $1.55
a share), and the sale of 42,000 shares, since that date.
- First NZ Capital Securities Limited, which currently has a relevant
interest (as described above) in 1.538% of the ordinary shares in Scales
Corporation Limited (being an aggregate of 2,150,271 ordinary shares) as a
result of normal trading activity, purchased shares on and off market on and
after 25 July 2014 between $1.53 and $1.61 a share, has a relevant interest
of 1.538% of the ordinary shares in Scales Corporation Limited on 26
September 2014.
