the motorhome business and assets of Kea.

shares arise pursuant to an Escrow Deed entered into between THL and Kea on
31 October 2012 (relevant agreement attached (8 pages)) and a Specific
Security Deed entered into between THL and Kea on 31 October 2012 (relevant
agreement attached (34 pages)).
