Details of the transactions or other events requiring disclosure: As
noted above, on 12 August 2015, Harbour Asset Management Limited (First NZ
Capital Group Limited) had disclosed an interest in 4,061,817 (5.079%) VGL
shares.
On 21 March 2016, Harbour Asset Management Limited purchased 800,000 VGL
shares for a consideration of $4,240,000 (under discretionary investment
management mandates), as part of the allocation of 20,421,995 ordinary shares
in VGL (being about 25.5% of the total ordinary shares in VGL) sold by a
group of the staff shareholders, which was announced to the market on 21
March 2016.

From 12 August 2015 to 21 March 2016, Harbour Asset Management Limited (under
discretionary investment management mandates), completed the following
transactions in VGL (including the abovementioned transaction):

Total share purchases of 1,533,191 for aggregate consideration of $8,234,096.

Total share sales of 273,393 for aggregate consideration of $1,405,962.

As a result of these transactions, Harbour Asset Management Limited, has, at
the date of this notice, a relevant interest in 5,321,615 (6.654%) VGL
shares.

First NZ Capital Securities Limited has, at the date of this notice, a
relevant interest in 230,750 (0.289%) VGL shares.
