result of transfer of 15,384,615 shares on 27 February 2015 from Wilmat
Holdings Limited to Michael John Morton and WBM Trustee Limited as trustees
of the Michael Morton No.2 Family Trust for nil consideration pursuant to an
in specie distribution from Wilmat Holdings Limited to its sole shareholders
pursuant to section 53 of the Companies Act 1993 as part of the winding up of
Wilmat Holdings Limited. This distribution and the wider restructuring of
the companies and Veritas Holdings Limited shares ultimately controlled by
the Trustees of the Michael Morton No.2 Family Trust was previously notified
to the market on 31 January 2015. No relevant agreement is required to be
attached pursuant to Regulation 139.
