On 17 October 2013, Xero lodged a Notification of Allotment of Securities
with NZX disclosing that Xero had issued 9,917,358 Ordinary Shares pursuant
to a capital raise. Shares were not issued to Givia Pty Limited in connection
with the capital raise. As a result, Givia Pty Limited is required to make
this disclosure due to the % change in its holding in Xero. Givia Pty Limited
has not disposed of nor acquired any shares since the last substantial
holding disclosure given by Givia Pty Limited (on 30 November 2012).
